Leidos, Inc. v. Indiana Public Retirement System, et al. Amicus Brief

Goodwin filed cert.-stage and merits-stage amicus briefs on behalf of the Securities Industry and Financial Markets Association (SIFMA) and the Chamber of Commerce of the United States of America. The question presented in the case is whether the failure to make a disclosure required by Item 303 of SEC Regulation S-K is actionable under Rule 10b-5. In its merits-stage amicus brief, SIFMA and the Chamber argued that Item 303’s standard for disclosure was too malleable and deferential to impose an actionable duty under Rule 10b-5; subjecting Item 303 disclosures to Rule 10b-5 liability would result in the disclosure of information that is both voluminous and unhelpful.
